Terms of Use


Pact Web Service for Content

In order to use the service provided by the Website, you must agree to the Terms. You may not use the services if you do not accept the Terms. As a Pact Member you may submit Content to the Pact website [www.pact.co.uk ]  (‘Website’) for access by authorised users of the Website (‘the Service’).

When submitting Content to the Website you agree to the following:

  1. You grant to Pact a non exclusive, royalty free perpetual, licence to display works on the Website and to each authorised user a right to access your Content through the Website.


You understand and warrant:

  1. You own and control and retain all intellectual property rights in your Content. You are solely responsible for your Content, and are in control of uploading and updating the Content.
  2. You will and continue to have during your use of the Websites retain all necessary licences, rights, consents and permissions and provide sufficient acknowledgement as required by law to the Content, and are liable to make payments of any applicable royalties.
  3. You have the right to licence Content to Pact and you grant to Pact such necessary licences to allow Pact to show your Content on the Website for the Service.
  4. You will not upload any content which is unlawful, defamatory, or breach third party rights.
  5. Pact does not endorse any Content or opinion or advice expressed in the Content or any external sites or resources and does not endorse any advertising products or material. 
  6. When using the Website you may not download, copy, reproduce, distribute, transmit, broadcast, display, licence or otherwise exploit Content provided by the Website, without the consent of the company who owns and controls the Content.
  7. You will indemnify Pact against all claims, liabilities, costs, (including reasonable legal costs, awards, damages, demands, actions, and proceedings incurred by Pact as a result of any breach by you of any of your obligations, warranties, or other terms contained in or implied under this agreement.


Termination

  1. The above licence granted by you in the Content, terminates when you remove or delete you Content from the Website.  Unless Content is otherwise removed by Pact as a result of your breach of the Terms of Use, or where Pact is required to do so by law, or it is no longer in Pact’s option no longer a commercially viable service to provide to users.
  2. In the event there are allegations of copyright infringement from a third party Pact will take down the material. Only on proof to Pact that the allegations are not substantiated or settled are you entitled to re-submit your Content to the Website.
  3. The Terms of Use only applies until termination by you or Pact.  


Miscellaneous

  1. Pact may change the Terms of Use from time to time, these will be available on the Pact website, your continued use of the Website is deemed acceptance of the Term.
  2. Nothing in this Agreement shall be deemed to constitute a partnership, joint venture or contract of employment between the parties.
  3. The Terms of Use shall be governed and construed in accordance with English laws and whose courts shall have exclusive jurisdiction.
